With its close relationships and family-owned businesses, the inland waterways community has lots of stories about handshake deals. But the participants in an Inland Marine Expo panel on vessel construction and repair contracts would urge you to get it in writing anyway. The only non-lawyer on the panel was Bryson Person, general manager at Arcosa. Chris Ulfers is a current Jones Walker partner. Kim Theriot-Smith is corporate counsel and a contract administrator at Conrad. Lance Sanni-no has worn both hats. He is a former Jones Walker partner who is now CEO of Enterprise Marine Services. Ulfers spoke about the case of a shipyard that was awarded $5 million on an oral contract after two years of litigation. In another case, a contract that specified that said the parties could "seek a satisfactory solution" if the vessel failed to meet regulatory approvals resulted in a $4 million award on a $15 million fixed-price contract. Finally, another contract in which the scope of work was left vague ended up in three years of litigation and $2 million in damages. |
