摘要: Adrian Ewer has stepped down as a director of Go-Ahead Group, after a miscount in shareholder votes. The company was informed by its registrar, Equiniti, of an error in the collection of certain proxy votes submitted in relation to resolutions put to shareholders at the company's annual general meeting (AGM) on December 21, 2021. As a result of Equiniti's error, approximately 3.2 million proxy votes validly submitted by shareholders were not included in the vote count. Had these votes been included in the vote count, the resolution to re-elect Adrian Ewer as a director would have received fewer than 50% of votes in favour, and he would not have been re-elected. In light of this, Adrian Ewer stepped down from the board with immediate effect. Dominic Lavelle and David Blackwood assumed the roles of audit committee chair and senior independent director respectively with immediate effect. In a separate development, trading in Go-Ahead Group shares was suspended on January 4, 2021 as the company delayed the release of its results for the year ended July 3, 2021. The delay is related to complications with the Southeastern railway franchise, which the company was stripped of in September 2021. An audit by Deloitte is ongoing.
